terms of service To be an authorized affiliate of www.modelsupport.co.uk, you agree to abide by the terms and conditions contained in this agreement. Glamour Model Terms and Conditions 1. Right to Resell. Subject to the terms and conditions of this Contract, the Model grants the Reseller an exclusive right to resell their products and services, on the Model’s behalf, to the Reseller 's customers. The Model also grants the Reseller the right to approach other retail outlets with the intention of selling on directly to the outlets themselves. 2. Representation. The Reseller shall maintain an internet-based sales outlet for product promotion and is responsible for all costs incurred for the promotion and sale of the Model products and services from that outlet. The Reseller shall not always be directly responsible for the costs incurred when placing merchandise within other retail outlets. The subject of costs, in this case, will be agreed upon between the Model and Reseller on an individual contract basis. The Reseller shall conduct business in its own name and shall not represent itself as an employee or agent of the Model. 3. Model Commission and End User Pricing. Model Commission is a three-tier system and is broken down as follows. 1 - Standard Model Commission is set at 25% of the Net purchase total (not including discounts, VAT or postage costs). This commission is given on the sales of the Model’s own merchandise and does not rely on the purchase being made through the Model’s own affiliate link. 2 - 1st Tier Commission is set at 5% of the Net purchase total (not including discounts, VAT or postage costs). This additional commission is given on the sale of any merchandise sold through the Model Support website. Sales MUST be made through the Model’s own affiliate link otherwise the sale will not register in the Model’s account. 3 - 2nd Tier Commission is set at 2% of the Net purchase total (not including discounts, VAT or postage costs). This additional referral commission can be made when the Model refers other models to www.modelsupport.co.uk. Each subsequent model referred becomes part of the original Model’s 2nd tier and as such, commission can be earned as and when anyone in the 2nd tier makes a sale through their own affiliate link. End User Pricing is set at the commencement of this Contract but can be altered at the discretion of the Reseller at such times as the production costs increase or it is deemed to be in the interests of the Model’s sales figures. 4. Compensation. Terms of payment are by electronic transfer or cheque. The Model is provided with a login account to access their own account information through the Model Support website. This account information is automatically updated with any commission due as and when the payment has cleared. Commissions are paid out on a monthly basis assuming the Model’s commission levels have reached the minimum payment level outlined in the Model affiliate account 5. Non-Disclosure. Proprietary material exchanged hereforth shall be treated as such by the Reseller and held in the strictest of confidence. This information shall include, but not be limited to, the provisions outlined in this Contract, product and services information, pricing and procedures and images for merchandise. The Reseller further agrees not to distribute or modify any sensitive or confidential material delivered to the Reseller or any portion thereof without prior written approval of the Model. This includes the release of unaltered images not intended for public viewing. 6. Transfer of Rights. The Reseller may not assign or transfer this Contract, in whole or in part without the prior written consent of the Model. In the event that the Reseller contemplates whole or partial sale of its business, ownership change, or a change in its jurisdiction, the Reseller shall notify the Model by mail, facsimile or e-mail no less than 60 days prior to the effective date of the event. 7. Term of Contract. As there are no renewal fees or dates relating to the Reseller services outlined herein, this Contract shall be deemed as ongoing until such time as the Reseller or Model notifies the other party in writing thirty (30) days prior to the expiration date. 8. Termination. The Model may terminate this Contract at their sole discretion upon the occurrence of one or more of the following events. 1) failure to comply with any provisions of the Contract upon receipt of written notice from the Model of said failure, 2) appointment of Receiver or upon the filing of any application by the Reseller seeking relief from creditors, 3) upon mutual agreement in writing of the Model and Reseller, 4) the model deems the services to be unsuccessful and reserves the right to cancel this Contract at any time by giving 30 days notice in writing to the Reseller. 9. Disputes. If legal proceedings are commenced to resolve a dispute arising out of, or relating to this Contract, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals. 10. Indemnification. The Reseller shall indemnify and hold the Model harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable solicitors fees) of whatsoever kind and nature that may be asserted, granted or imposed against the Model directly or indirectly arising from or in connection with Reseller 's products, marketing, reselling or support services of the product or services or the unauthorized representation of the product and services or any breach of this Contract by the Reseller. 11. Limited Warranty. The Reseller warrants that the product will substantially perform the functions or generally conform to the specifications published by the Reseller for the product. If it is determined that the product does not operate according to such documentation, the Reseller's only responsibility will be to use reasonable efforts, consistent with industry standards, to cure the defect. 12. Confirmation of Copyright. The Model warrants that the copyright and reselling rights to the materials provided to the Reseller for the use of promoting and selling merchandise on behalf of the Model, as outlined in Appendix A, reside with the Model themselves. Failing that, the Model has written permission from the copyright holder authorizing the use of the materials for resale. The acceptance of this contract by the Model authorizes the Reseller to promote and sell any of the material provided by the Model on behalf of the Model and indemnifies the Reseller against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable solicitors fees) of whatsoever kind and nature that may be asserted, granted or imposed against the Reseller directly or indirectly arising from or in connection with the Reseller 's use of supplied images. 13. Force Majeure. Neither party shall be held responsible for delay or failure in performance hereunder caused by, acts of nature, strikes, embargoes, fires, war or other causes beyond their reasonable control. 14. Binding Effect. If any provision of this Contract is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Contract and any disputes arising hereunder shall be governed by the laws of the United kingdom, without regard to conflicts of law principles. A failure by any party to exercise or delay in exercising a right or power conferred upon it in this Contract shall not operate as a waiver of any such right or power.
